Terms of Service

These Terms of Service ("Terms") govern access to and use of all products, websites, and services (collectively, the "Services") provided by Brainiacs Tech Solutions LLC("Brainiacs", "we", "us", or "our"). By creating an account, purchasing a subscription, or otherwise using the Services, you ("Customer") agree to these Terms.

1. Services and account

We provide custom software, AI development, automation, IT support, and productized SaaS templates including MedFlow, DentalFlowDesk, VetDeck, SalonOS, MechDesk, and CleanRoute. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@brainiacstechsolutions.com if you suspect unauthorized access.

2. Subscriptions and billing

Productized SaaS subscriptions are billed monthly or annually in advance via Stripe based on the plan you select. You authorize recurring charges to your payment method until you cancel. Custom-engineering projects are billed per the signed Statement of Work. All fees are in US Dollars and exclusive of taxes unless otherwise stated.

Annual plans are non-refundable except as described in the Refund Policy. Past-due accounts (more than 7 days) may be paused; see the Cancellation Policy.

3. Acceptable use

You agree not to: (a) use the Services for unlawful purposes; (b) attempt to gain unauthorized access to any portion of the Services or related systems; (c) reverse engineer or copy non-public components; (d) transmit viruses, malware, or harmful content; (e) violate the rights of third parties; (f) use automated scraping in a manner that materially burdens our infrastructure.

4. Customer data and privacy

You retain ownership of all data you submit to the Services ("Customer Data"). We process Customer Data on your behalf to provide the Services and as described in our Privacy Policy. Customer Data is encrypted at rest using AES-256-GCM with per-record keys and audited on every write. We do not sell Customer Data.

5. Intellectual property

We retain all right, title, and interest in the Services, including underlying software, designs, trademarks, and documentation. Custom deliverables produced under a Statement of Work are licensed or assigned per the SOW terms; absent specific assignment, you receive a perpetual, non-exclusive license to use such deliverables for your business operations.

6. Service-Level expectations

We target 99.5% monthly uptime for productized SaaS services and respond to support requests per the SLA tied to your plan tier. Scheduled maintenance is announced in advance via email and the customer portal. We are not liable for downtime caused by force majeure, third-party providers (e.g., Stripe, Twilio, ElevenLabs), or customer-caused incidents.

7. Warranties and liability

The Services are provided "AS IS" without warranty of any kind, express or implied, except as required by law. To the maximum extent permitted, our aggregate liability for any claim arising out of or relating to the Services is limited to fees paid by you to us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

8. Termination

You may cancel your subscription at any time per the Cancellation Policy. We may suspend or terminate your access for material breach of these Terms with reasonable notice (immediate for severe breach). Upon termination, you may export Customer Data for 30 days; thereafter, we may delete it.

9. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance.
